ECLO LDA grants you a non-exclusive, non-transferable right to use this module on your DotNetNuke (DNN) installation according to the license edition purchased.
Domain Editions: One License is required to install and use this module on each Domain Name (alias). A domain name is defined as a single unique domain address; domain "www.domain.com", "my.domain.com" or "support.domain.com" are considered as single domain name. DNN Child Portals such as "www.domain.com/support" do not require additional licenses.
Host Edition: Allows installation on a DotNetNuke (DNN) installation and use of the module on all portals. You are entitled to receive all patches and updates published during one year from the date of purchase. After that date your module will continue to work normally but you can not update it. The patches and updates are valid for the same major version. If and when a new version is released you'll be entitled to a discount to upgrade your license.
2. Regardless of the type of license purchased, if the SOFTWARE PRODUCT includes reusable software such as controls, components, plug-ins, stylesheets, etc. you may not use any of these independently of the SOFTWARE PRODUCT.
In no case shall you rent, lease, lend, redistribute nor re-license THE SOFTWARE PRODUCT or source code to a 3rd party individual or entity, except as outlined above. In no case shall you grant further redistribution rights for THE SOFTWARE PRODUCT to the end-users of your solution.
3. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS
Without prejudice to any other rights, ECLO LDA may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE PRODUCT and all of its component parts, source code, associated documentation, and related materials.
4. COPYRIGHT
All title and copyrights in and to the SOFTWARE PRODUCT (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the SOFTWARE PRODUCT), the accompanying printed materials, and any copies of the SOFTWARE PRODUCT are owned by ECLO LDA except for certain portions for which ECLO LDA has obtained redistribution rights from the title or copyright holder. The SOFTWARE PRODUCT is protected by the laws of United States of America and international treaty provisions. Therefore, you must treat the SOFTWARE PRODUCT like any other copyrighted material.
5. LIMITED WARRANTY
ECLO LDA expressly disclaims any warranty for the SOFTWARE PRODUCT. The SOFTWARE PRODUCT and any related documentation is provided "as is" without warranty of any kind, either express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The entire risk arising out of use or performance of the SOFTWARE PRODUCT remains with you.
You acknowledge that the software may not be free from defects and may not satisfy all of your needs.
EXCEPTING THE LIMITED WARRANTY HERE ESTABLISHED, ALL THE REFERRING WARRANTIES, CONDITIONS, REPRESENTATIONS, INDEMNIFICATIONS TO SOFTWARE, EITHER THEY ARE EXPRESS OR TACTICAL, RESULTING OF THE LAW, CUSTOM, COURSE OF PROCEDURE OR PERFORMANCE, PREVIOUS, VERBAL OR WRITTEN DECLARATIONS, OF ECLO, THEIR CIVIL EMPLOYEES, DIRECTORS, EMPLOYEES, AGENTS, LICENCES, REPRESENTATIVES, OR OTHERS (INCLUDING, BUT NOT LIMITING ANY WARRANTY OF NEGOTIABILITY OR APTITUDE FOR A SPECIAL AIM) ARE BY THIS MEANS ANNULLED, EXCLUDED AND/OR REJECTED.
6. RESPONSIBILITY LIMITS OF ECLO
IN NO CIRCUMSTANCE, ECLO, THEIR CIVIL EMPLOYEES, DIRECTORS, EMPLOYEES, AGENTS, LICENSEES, REPRESENTATIVES WILL BE MADE RESPONSIBLE BY ANY CONSEQUENT, INDIRECT, SPECIAL, PUNITIVE OR ACCIDENTAL DAMAGES, FORESEEABLE OR UNFORESEEABLE, BASED ON ITS CLAIMS OR THE CLAIMS OF ITS CLIENTS (INCLUDING BUT NOT LIMITING, TO CLAIMS BY LOSS OF DATA, GOOD REPUTATION, PROFITS, USE OF MONEY OR USE DE SOFTWARE, FAILURE OF USE OR AVAILABILITY OF DATA, OBSTRUCTION OF ANOTHER WORK OR DAMAGE OF OTHER RESOURCES) THAT OCCUR OUTSIDE A WARRANTY FAILURE EITHER EXPRESS OR IMPLICIT, AGREEMENT TERMINATION, FALSE DECLARATIONS, NEGLIGENCE, STRICT RESPONSIBILITY IN CRIME ETC. IN NO CASE THE TOTAL RESPONSIBILITY OF ECLO, THEIR CIVIL EMPLOYEES, DIRECTORS, EMPLOYEES, AGENTS, LICENSEES, REPRESENTATIVES INCUR CAN, BY VIRTUE OF ANY ACTION OR PROCEDURE, SURPASS THE TOTAL QUANTITY “DE FACTO” PAID BY THE COSTUMER FOR THE SPECIFIC SOFTWARE THAT DIRECTLY HAS CAUSED THE DAMAGE.
